Nscale, the London-headquartered “neocloud” backed by Nvidia, has filed for a New York listing with a target valuation of up to $35 billion. The filing reveals a company operating at a significant deficit, balancing massive losses against the booming potential of AI infrastructure.
Financial Strain and the Nvidia Connection
Per the S-1 filing, Nscale posted a net loss of $1.02 billion in the six months leading up to June 30, 2026. At one stage, management flagged “substantial doubt” regarding the company's ability to continue as a going concern. Despite this, the company is seeking a premium valuation based on $103 billion in contracts, though many of these agreements are not yet firm.
Nvidia’s role is pivotal. As Nscale’s primary supplier and a major investor, Nvidia recently committed $1 billion to a $3.1 billion financing round via convertible notes or non-voting shares. This deep integration has sparked discussions regarding “circular financing,” a practice where a chipmaker funds its own customers, who then use that capital to purchase the manufacturer's hardware. Nvidia CEO Jensen Huang has previously acknowledged this support, noting that such neoclouds would not exist without it.
A High-Profile Leadership
Spun out of the Australian crypto miner Arkon Energy in 2024, Nscale has recruited a formidable board of directors. The roster includes former Meta COO Sheryl Sandberg, former U.K. Deputy Prime Minister Nick Clegg, and former Yahoo President Susan Decker, signaling the company's intent to establish institutional credibility despite its short two-year history.
Market Implications
The Nscale IPO is being watched as a bellwether for the broader AI sector.
